1. About these Terms
Vox Digitals is a service brand of the Voxvalley group. Your contract is with the Voxvalley company for your billing country, shown below ("Vox Digitals", "we", "us").

Where a country addendum conflicts with these Terms, the addendum applies to customers billed in that country. These Terms govern your use of our website, dashboard, APIs, messaging, voice, phone number and AI agent services (the "Services"). By creating an account or using the Services you agree to these Terms, our Acceptable Use Policy, our Termination & Cancellation Policy and our Privacy Policy. If you accept on behalf of an organisation, you confirm you have authority to bind it.
2. Your account
You must give accurate business and contact details and complete the identity and business verification we, carriers or channel providers require before you can send traffic, register sender IDs or lease numbers. You are responsible for keeping your credentials and API keys secure and for all activity under your account, including activity by anyone using your keys.
3. The Services
Delivery of messages and calls depends on mobile operators, Meta, Google and other third parties outside our control. We route traffic with automatic failover but do not guarantee delivery, delivery time or call quality on any network. Use of WhatsApp, RCS and other channels is also subject to the channel provider's own terms and policies, which you agree to follow.
4. Regulatory compliance
You are the sender of your messages and calls and are responsible for their content, for obtaining and recording consent, and for honouring opt-outs. This includes, where applicable: TRAI's Telecom Commercial Communications Customer Preference Regulations and DLT registration of your entity, headers and templates in India; 10DLC, toll-free verification, the TCPA and CTIA guidelines in the United States; the Singapore SMS Sender ID Registry and Do Not Call provisions; and data protection laws including India's Digital Personal Data Protection Act 2023 and the EU GDPR. Our compliance desk helps with registrations, but registration remains your obligation. We may block or delay traffic that is not registered or does not comply.
5. AI voice and chat agents
You configure your agents' instructions, knowledge and integrations and are responsible for what they say and do on your behalf. You must tell people they are speaking or chatting with an AI where the law requires it, and obtain any consent needed to record calls. AI output can be inaccurate. Agents must not be used for emergency services, or as the sole basis for medical, legal, credit or other decisions with significant effects on a person, without human review.
6. Fees and payment
Fees are as shown on our Pricing page or in your order form: a platform fee per contact per month, usage at published rates, number leases, and registration fees passed through at cost. You choose USD, EUR or INR as your billing currency at sign-up. Prices exclude taxes, which are added where applicable.
On prepaid accounts, charges are deducted from your wallet as they accrue and Services pause when the balance reaches zero. Postpaid billing is available only under a separate agreement. Carrier and channel-provider rates may change; we give notice where we can, and where a third party changes its rate with short notice the new rate applies from the same date. Billing disputes must be raised within 30 days of the charge.
7. Fraud and abnormal traffic
You are liable for all charges for traffic originating from your account, including traffic caused by compromised credentials, artificially inflated traffic or international revenue share fraud. We may suspend traffic immediately when we detect suspected fraud, and may withhold or reverse credits linked to it.
8. Phone numbers and sender IDs
Numbers are leased to you, not sold, and remain subject to the rules of the relevant regulator and operator. Where the law allows, you may port a number out while your account is in good standing. Numbers and sender IDs may be withdrawn if a regulator or operator requires it.
9. Your data and content
You keep all rights in your content and in the personal data of the people you contact. You grant us the rights we need to process it to provide, secure and support the Services. When we process personal data on your behalf we act as your processor; a data processing agreement is available on request. Our handling of personal data is described in the Privacy Policy.
10. Our intellectual property
We and our licensors own the platform, software, APIs and documentation. You receive a limited, non-exclusive, non-transferable right to use them during your subscription. You may not resell the Services except under a written reseller or white-label agreement with us.
11. Suspension and termination
We may suspend the Services for non-payment, breach of these Terms or the Acceptable Use Policy, a security risk, or an instruction from a regulator, operator or channel provider. Cancellation, termination and refunds are covered in the Termination & Cancellation Policy.
12. Disclaimers
Except as expressly stated in these Terms, the Services are provided "as is" and "as available", and we disclaim all other warranties to the extent the law allows.
13. Limitation of liability
Neither party is liable for indirect, consequential or special loss, or for loss of profit, revenue or data. Our total liability arising from the Services in any 12-month period is limited to the fees you paid us in the 12 months before the event giving rise to the claim. These limits do not apply where the law does not permit them.
14. Indemnity
You will indemnify us against claims, fines and penalties arising from your content, your messaging or calling practices, your AI agent configuration, or your breach of these Terms or applicable law, including fines passed through to us by operators or regulators.
15. Changes to these Terms
We will give at least 30 days' notice of material changes by email or in the dashboard. Continued use after the effective date means you accept the changes.
16. Governing law and disputes
For customers billed in the United States or Singapore, governing law and dispute resolution are set out in the US Addendum and Singapore Addendum. For all other customers, these Terms are governed by the laws of India. Disputes will be resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, seated in Hyderabad and conducted in English. Courts at Hyderabad have exclusive jurisdiction for interim relief.
